Access to Routemizer is provided on an invitation-only basis. You must be invited by our sales team or an authorized administrator to create an account.

You agree to provide accurate, current, and complete information during registration and keep your account information updated.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Using strong passwords and enabling multi-factor authentication when available

3.3 User Roles and Permissions

Your organization administrator controls user access, roles, and permissions. You may only access data and features authorized for your role.

4.1 Permitted Use

You may use the Service only for lawful business purposes in accordance with these Terms and applicable laws.

4.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Reverse engineer, decompile, or attempt to extract source code from the Platform
• Use the Service to transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to any systems or data
• Interfere with or disrupt the Service or servers/networks
• Use automated scripts or bots to access the Service without authorization
• Resell, sublicense, or redistribute the Service without written permission
• Remove or modify any proprietary notices or labels
• Use the Service to compete with Routemizer or develop competing products
• Upload false, misleading, or fraudulent information
• Harass, abuse, or harm other users or our staff

5.1 Subscription Plans

Routemizer is provided on a subscription basis. Pricing, features, and terms are outlined in your service agreement or quote provided by our sales team.

5.2 Payment

• Fees are billed in advance on a monthly or annual basis as specified in your agreement
• All fees are non-refundable unless otherwise stated in your agreement
• You authorize us to charge your payment method on file
• Prices are subject to change with 30 days' notice

5.3 Late Payment

If payment is not received when due, we may suspend access to the Service until payment is received. Late payments may incur interest charges as permitted by law.

5.4 Taxes

Fees are exclusive of taxes, duties, or similar charges. You are responsible for all applicable taxes except those based on our net income.

6.1 Your Data

You retain all rights to your data. "Your Data" means all data, content, and information you upload, submit, or generate through the Service, including:

• Customer information and service locations
• Task details and scheduling data
• Routes, optimizations, and operational data
• User profiles and organizational information

6.2 License to Us

You grant us a limited license to access, store, process, and display Your Data solely to provide the Service and as described in our Privacy Policy. This license terminates when you delete Your Data or terminate your account.

6.3 Our Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, and trademarks, is owned by Routemizer and protected by intellectual property laws. These Terms do not grant you any ownership rights to the Service.

6.4 Aggregated Data

We may create anonymized, aggregated data from Your Data for analytics, product improvement, and benchmarking purposes. This aggregated data does not identify you or your organization.

7.1 Availability

We strive to maintain 99.9% uptime for the Service. Scheduled maintenance will be announced in advance when possible. We do not guarantee uninterrupted access.

7.2 Support

Support is provided through your account dashboard. Enterprise customers may have access to priority support as specified in their service agreement.

7.3 Service Modifications

We reserve the right to modify, update, or discontinue features of the Service. We will provide reasonable notice of material changes that negatively impact functionality.

8.1 Our Warranties

We warrant that the Service will perform substantially in accordance with our documentation. If the Service does not meet this warranty, we will use commercially reasonable efforts to correct the issue.

The Service may integrate with or rely on third-party services (e.g., mapping, geolocation). We are not responsible for the performance, accuracy, or availability of third-party services.

11.1 Term

These Terms remain in effect for the duration of your subscription, unless terminated earlier as provided herein.

11.2 Termination by You

You may terminate your subscription by providing written notice to our sales team according to the terms of your service agreement. Fees paid are non-refundable.

11.3 Termination by Us

We may suspend or terminate your access immediately if:

• You violate these Terms
• Your account is past due on payment
• Your use poses a security risk or legal liability
• You engage in fraudulent or abusive behavior

11.4 Effect of Termination

Upon termination, your access to the Service will cease. We will retain Your Data for 90 days to allow for retrieval, after which it will be deleted according to our data retention policy. Sections that by their nature should survive (e.g., warranties, limitations of liability, indemnification) will continue to apply.

13.1 Informal Resolution
